CONSTITUTION AND BY-LAWS

CONSTITUTION

ARTICLE I - Title

The title of this organization is SALEM HIGH SCHOOL BOOSTERS CLUB, INC., hereinafter called the "organization". The fiscal year runs from August 1 through July 31.

ARTICLE II - Objectives

The objectives of the Salem High School Boosters Club, Inc., a non-profit organization, are:

Section 1 - To give all possible support, both moral and financial, to the school athletic program through, 1. Recognizing the participating student athletes, team achievements and where appropriate, individual achievements, and 2. Support enhancements that build the skills and capabilities of the athletic teams.

Section 2 - To cooperate with those in charge of the Athletic Department, School Administration, and the School Board and to build and maintain an organization that will help promote the general activities of the Athletic Department.

 ARTICLE III- Officers

The Officers of the organization shall be a President, Vice-President, Secretary, and Treasurer. All Officers are members of the Executive Board.

 ARTICLE IV - Membership

           Section 1 - Membershipis open to all persons who are interested in furthering the objectives of the organization and have

                         (a) attained the age of eighteen years and

(b) paid any annual dues that may be assessed by the organization.

Section 2 - Membership enrollment is for a period of one year, beginning in August, and is open continuously throughout the year.

         Section 3 - Each and every member, having met eligibility and enrollment requirements, shall be entitled to

                          (a) Cast one vote on all matters brought before membership,

(b) Bring a petition before the organization, and

(c) Seek and hold elective office in the organization.

ARTICLE V - Meetings

Section 1- A minimum of 6 meetings shall be heldduring the Fiscal Year. The meetings shall be scheduled for the first week of September, November, January, March, May and June.

Section 2 - Special meetings of the organization may be called by the presiding officer or by written request of at least fivemembers. The full membership shall be given reasonable notice of the date, time, place, and subject of all special meetings.

ARTICLE VI- Amendments

Section 1 - The Constitution and By-Laws may be amended by a majority vote of the members present at a meeting to be held within 2 weeks of electronic notice to all members.

     Section 2 - The President may establish a five-person committee to review the Constitution and By-Laws                 on a periodic basis.

ARTICLE VII - Quorum

       Five members of the organization, exclusive of the presiding officer, shall constitute a quorum for the                 purpose of conducting either a regular or special meeting of the organization.

ARTICLE VIII - Removal From Office

Section 1 - Elected officers may be removed from office by a three-fourths majority of the members present and voting at any regular or special meeting of the organization provided that either

(a) Five members have petitioned the President in writing, stating the reason for their petition, or

(b) Upon unanimous vote of the Executive Board, exclusive of the officer in question, and

(c) The full membership and the subject officer have been given at least ten days written notice of the date, time, and place of the meeting at which the action will be placed before the membership.

Section 2 - The officer who is subject to these proceedings shall be entitled to be present and/or have
representation oftheir choice at all meetings of the membership at which the matter is to be heard or acted upon. Such representation is to be the sole responsibility of the officer subject to the action.

BY-LAWS

ARTICLE I - Executive Board

     Section 1 -The Executive Board shall be comprised ofthe officers of the organization and the Chairpersons of the Standing Committees.

      Section 2 - The Executive Board shall have general supervision of the affairs of the organization.

 

ARTICLE I I - Duties and Terms of Office

Section 1- The President shall preside at all meetings, nominate all Chairpersons of committees, and be, ex-officio, a member of all committees.

          Section 2- The Vice-President shall assume the role of the President in his/her absence.

      Section 3-The Secretary shall keep records of all meetings and attend to the organization's   correspondence. The newly elected Secretary will receive all previous meeting minutes and correspondence by August 1.

Section 4- The Treasurer shall receive all funds due the organization, deposit same with a federally-insured bank, and make disbursements as directed by the organization. The Treasurer shall maintain a full and correct amount of all money received and expended, and make a Treasurer's Report to be presented at each regular meeting. The final Fiscal Year End Treasurer's Report will be presented at the first meeting of the new fiscal year. The newly elected Treasurer will receive all Financial funds and documents, including the final report of the previous fiscal year, by August 1.

     Section 5- Officers shall not serve more than two consecutive years in one office except in the event that no new candidate comes forward.  The officer may extend their service one more year with a majority vote by Booster members present at the June meeting.

      ARTICLE III – Standing Committees

   Section 1 – Committees may be set up to organize, discuss or plan Banquets, Concessions, Membership, Budget, Fund-raising, Advertising and other activities as deemed necessary.

ARTICLE IV - Annual Inventory

     An annual inventory shall be taken by the Executive Board at the beginning of each fiscal year. The quantity and location of each item shall be recorded and all items shall be verified that they are labeled with the name Boosters Club.

ARTICLE V - Annual Dues

         Annual dues shall be assessed upon each family in an amount recommended by theExecutive Board and
approved by the membership.

ARTICLE VI – Booster Club Funding

         Section 1 – All Salem High Booster athletic fund raising projects must be approved by the Booster Club.

         Section 2 – Fund raising includes, but is not limited to: Annual Dues, Blockhouse and SHS athletic sporting event concessions, SHS athletic signature clothing or items, business donations and sponsorships, private donations, and approved publications with the sole purpose of raising funds for Salem High Athletics through the Booster Club.

ARTICLE VII - Expenditures

Section 1 – The Director of Athletics must approve any expenditure that adds to the physical properties of Salem High School before being brought to the Salem Booster Club membership for vote.

Section 2 – No Expenditures will be considered or allowed that are part of the Salem High School Budget.  Specifically, these are equipment for individual sports, uniforms, and regular supplies such as balls, mitts, masks, etc., or maintenance equipment.

Section 3 - All expenditures must be approved by the Booster Club membership by meeting majority.  Guidelines established by the Booster Club membership must be followed.

Section 4 – Annual expenditures will be based upon affordable guidelines developed by the membership.  Expenditures will include, but are not limited to:  Sports Banquets, Trophies/plaques and other student recognition, senior flowers, and coaches’ clinics.

Section 5 – Special requests must come in as a written request to the Booster Club.

ARTICLE VIII-Elections

       Section 1 - A Nominating Committee consisting of two members of the Executive Board and three members of the general membership shall be nominated by the President at the April meeting.

Section 2 - After the report of the Nominating Committee at the June meeting, nominations may also be made from the floor. Officers shall be elected at the June meeting by ballot or, if a single slate is presented, by acclamation.

        Section 3 -Elected officers shall assume their position and duties beginning August 1 of the new fiscal year.

Section 4 - An elective officer's post which becomes vacant shall be filled by Executive Board appointment for the remainder of the term, except the President's office which shall be filled by the Vice-President.

ARTICLE IX - Disbandment

If the Salem High School Boosters Club, Inc. shall at any time disband, any moneys in the treasury shall be turned over to the Salem High School Athletic Department.
